Terms of Service
1. Acceptance of terms
These Terms of Service govern your access to and use of the Relay HQ platform, website and related services provided by Relay HQ Technologies Ltd. By creating an account or using the service, you agree to be bound by these terms. If you are using the service on behalf of an organisation, you represent that you have authority to bind that organisation.
2. Description of service
Relay HQ provides a business communications platform that brings calls, WhatsApp, SMS and email into a single inbox, with features including phone numbers, IVR menus, routing, analytics and team management. The service is available for a free trial and through paid plans as described on our pricing page.
3. Accounts and responsibility
You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You must provide accurate, current and complete information when registering and keep it up to date. You must be at least 18 years old to use the service.
4. Acceptable use
You agree not to use the service to: transmit unlawful, harassing, fraudulent or malicious content; send unsolicited messages (spam) in violation of applicable law; infringe the rights of others; interfere with or disrupt the service or its infrastructure; or attempt to gain unauthorised access to any part of the platform. You are responsible for complying with all laws applicable to your use of the service, including telecommunication and data protection laws.
5. Fees and payment
Paid plans are billed in advance on the terms set out at signup. Fees for numbers, minutes, messages and other usage are charged according to the applicable rate card. All fees are non-refundable except where required by law or otherwise stated. We may change prices by providing you with notice; changes take effect at the start of the next billing period.
6. Trial
Where we offer a free trial, it begins on signup and continues for the stated period (currently 14 days) unless cancelled. At the end of the trial, you may choose to subscribe or the service may be limited or suspended. We may withdraw or modify trial offers at any time.
7. Your content
You retain ownership of the content you upload, and of your customer conversations routed through the service. You grant us a limited licence to host, process and transmit your content solely to provide the service to you. We do not sell your content or conversations.
8. Service availability
We aim to keep the service highly available but do not guarantee uninterrupted or error-free operation. The service depends on third-party telephony and messaging networks that are outside our control. Scheduled maintenance, network outages and force majeure events may cause interruptions for which we are not liable.
9. Termination
You may stop using and cancel your account at any time. We may suspend or terminate your access if you breach these terms, if required by law, or to protect the service or other users. Upon termination, your right to use the service ends and we may delete your data in accordance with our retention policy. Sections that by their nature should survive termination will continue to apply.
10. Disclaimer of warranties
The service is provided 'as is' and 'as available', without warranties of any kind, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose and non-infringement. We do not warrant that the service will meet your requirements or be secure, uninterrupted or error-free.
11. Limitation of liability
To the maximum extent permitted by law, Relay HQ Technologies Ltd shall not be liable for any indirect, incidental, special, consequential or punitive damages, or any loss of profits, revenue, data or goodwill, arising out of or related to your use of the service. Our total aggregate liability shall not exceed the amounts you paid us in the twelve (12) months preceding the claim.
12. Changes to these terms
We may update these Terms of Service from time to time. When we make material changes, we will update the 'Last updated' date on this page and notify you through the service or by email. Continued use of the service after changes take effect constitutes acceptance of the revised terms.
13. Governing law
These terms are governed by the laws of Kenya, without regard to its conflict of law provisions. Any disputes arising under these terms will be subject to the exclusive jurisdiction of the courts of Kenya.
